👨🏿‍🚀TechCabal Daily – Nedbank checks into Nairobi

Nine months after first announcing the deal in January, Nedbank has officially cleared all remaining regulatory hurdles in its bid to acquire 66% of NCBA Group. The South African lender put R13.9 billion, roughly $855.5 million, on the table, and the offer is now unconditional. Settlement begins this week, with the share transfer expected to complete from early November.

The road to this point had its twists. Kenya's capital markets regulator stepped in during February to allow Nedbank to buy its 66% stake without making an offer for the entire company. When the tender opened in May, shareholders came in hot, offering up 79.9% of NCBA's shares, well above what Nedbank was seeking. Those offers had to be scaled back to hit the 66% target.

NCBA will become a Nedbank subsidiary, but it is not disappearing into the parent company's identity. It keeps its name, its Nairobi headquarters, its existing management, and its listing on the Nairobi Securities Exchange. For everyday customers and market watchers, the brand stays put, even as the ownership structure quietly shifts. What this combination means for competition across East Africa's banking sector is a question worth watching closely.
